
Terms of Service
Please read these Terms of Service (“Terms”, “Agreement”) carefully before using any application, service, or blockchain protocol operated by Aligned Sovereign Intelligence Institute (“Aligned Institute”, “ALI”, “we”, “us”, “our”).
By accessing or using our Services (including the ALI Signals Platform, ABC / AIC / SAT tokens, and related smart contracts on Base Protocol), you agree to be bound by these Terms. If you disagree with any part of the Terms, you must not access the Service.
1. Acceptance of Terms
By accessing or using our Services, you represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of any applicable jurisdiction. You further represent that all information you provide is accurate, complete, and current.
2. Description of Services
ALI provides:
- ALI Signals Platform: A centralized application for AI risk intelligence and data analysis.
- Blockchain Protocol Services: Smart contracts and token ecosystems — ABC (Aligned Beacon Capital), AIC (Aligned Institutional Capital), and SAT (Safe Asset Treasury) — deployed on Base Protocol (Layer 2).
- Research Grant Platform: A milestone-driven grant curation and disbursement system for AI safety research, governed by veABC conviction voting and the Authority Score credentialing mechanism.
3. Testnet Participation
Testnet Environment — No Legal Instrument, No Monetary Entitlement. ALI operates a testnet environment on Base Sepolia for protocol development and researcher onboarding purposes. The following conditions govern all testnet participation:
(a) No legal instrument created. Testnet participation — including the completion of grant submissions, the accumulation of Authority Score, or the recording of any contribution in any testnet ledger or smart contract — does not create a legal instrument, a security, a debt obligation, a monetary entitlement, or a right of redemption of any kind. No on-chain or off-chain record generated during testnet constitutes an enforceable claim against ALI or the ASIP protocol treasury.
(b) No monetary value. Testnet tokens and testnet records have no monetary value and are not redeemable for USD, USDC, or any other currency or digital asset, except as specifically defined in a separate, signed, counsel-approved Mainnet Activation Mechanism published by ALI upon mainnet launch.
(c) Mainnet honoring is discretionary and conditional. ALI intends, but
does not legally commit, to honor verifiable testnet contributions through the mainnet
grant disbursement mechanism. Any such honoring will be conditioned on: (i) the
participant’s successful completion of KYC/AML verification; (ii) confirmation of Swiss
FINMA domicile or applicable legal authorization; (iii) the participant’s eligibility
under applicable sanctions and regulatory requirements at the time of mainnet disbursement;
and (iv) on-chain verification via the published verifySubmission()
protocol.
(d) No transfer or assignment. Any testnet contribution record, Authority Score accrual, or anticipated mainnet grant entitlement is personal to the registered participant and is non-transferable, non-assignable, and has no secondary market.
(e) Sybil and fraud disqualification. Participants determined, at ALI’s reasonable discretion with supporting on-chain or off-chain evidence, to operate multiple identities sharing beneficial ownership (“Sybil activity”) forfeit all associated testnet records and any anticipated mainnet entitlement. ALI reserves the right to apply this disqualification retroactively and to pursue recovery of any amounts disbursed in error as a result of Sybil activity or fraud.
(f) Testnet state not guaranteed. ALI makes no representation that Base Sepolia testnet state is permanent, that records will survive network resets or chain reorganizations, or that testnet data will be ported to mainnet in any form other than the published Mainnet Activation Mechanism.
4. User Responsibilities
You agree to:
- Use the Services only for lawful purposes.
- Provide accurate and complete information for account registration, KYC/AML verification, and grant submissions.
- Maintain the security of your account credentials and private keys.
- Comply with all applicable laws and regulations in your jurisdiction.
- Complete identity verification (KYC) and anti-money laundering (AML) screening as required by ALI prior to receiving any grant disbursement or token delivery.
Prohibited Activities:
- Using the Services for illegal activities, including money laundering, terrorist financing, or sanctions evasion.
- Operating multiple accounts or identities sharing beneficial ownership to circumvent protocol participation limits or grant eligibility requirements (Sybil activity).
- Attempting to disrupt or compromise the integrity of the Service or its underlying blockchain networks.
- Reverse engineering or attempting to derive source code from any part of the Service (except for open-source components published under an applicable open-source license).
- Transferring or purporting to transfer any testnet contribution record, Authority Score accrual, or anticipated mainnet entitlement to any third party.
5. Blockchain & Cryptocurrency Risks
Acknowledgment of Risk: You acknowledge that blockchain technology, including Base Protocol and digital assets (ABC, AIC, SAT), involves significant risks, including but not limited to:
- Regulatory Uncertainty: Changes in laws and regulations may impact the value and utility of tokens. ASIP operates under an evolving regulatory framework, including FINMA (Switzerland) as a targeted jurisdiction, and applicable US regulations during Phase 1.
- Token Phase Sequencing: ABC is a Phase 1 public governance token. AIC (Aligned Institutional Capital) is a Phase 2 private institutional instrument available only to accredited investors following ABC’s demonstrated viability. SAT in Phase 1 is USD stablecoins only; a commodity basket is a Phase 3 feature. Participation in Phase 1 does not guarantee access to Phase 2 or Phase 3 instruments.
- Technical Risks: Software bugs, smart contract vulnerabilities, and network congestion.
- Market Volatility: The value of digital assets can fluctuate significantly.
- Irreversibility: Transactions on the blockchain are irreversible. Lost private keys cannot be recovered by ALI.
No Financial Advice: ALI does not provide investment, financial, or legal advice. You are solely responsible for your decisions regarding participation in the ASIP protocol.
Not a DAO. ASIP is not a decentralized autonomous organization. Governance combines on-chain veABC conviction voting with off-chain governance processes conducted under the jurisdiction of Aligned Sovereign Intelligence Institute. On-chain votes are advisory inputs into a structured governance framework, not binding autonomous outcomes.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALI, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.
- ANY THIRD-PARTY CONDUCT OR CONTENT ON THE SERVICE.
- ANY UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
- ANY HACK, SECURITY BREACH, OR MALICIOUS ATTACK TARGETING BASE PROTOCOL OR ANY THIRD-PARTY WALLET OR EXCHANGE.
- SMART CONTRACT FAILURES OR ISSUES WITH THE UNDERLYING BLOCKCHAIN INFRASTRUCTURE.
- ANY LOSS OR FORFEITURE OF TESTNET RECORDS, AUTHORITY SCORE ACCRUALS, OR ANTICIPATED MAINNET ENTITLEMENTS ARISING FROM NETWORK RESETS, CHAIN REORGANIZATIONS, OR CHANGES TO THE MAINNET ACTIVATION MECHANISM.
7. Indemnification
You agree to defend, indemnify, and hold harmless ALI and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of: (a) your use and access of the Service, by you or any person using your account and credentials; (b) a breach of these Terms; (c) content you submit via the Service; or (d) any Sybil activity or fraud attributable to your account.
8. Compliance & Global Access
ALI makes no representation that the Service is appropriate or available for use in all locations. Those who access or use the Service from other jurisdictions do so at their own volition and are responsible for compliance with local law.
Restricted Jurisdictions: Services may be restricted in certain countries subject to sanctions or regulatory prohibitions, including OFAC-sanctioned countries, countries subject to EU, UK, or UN consolidated sanctions lists, and any jurisdiction where participation in the ASIP protocol would violate applicable law. ALI conducts sanctions screening on all wallet addresses and grant recipients.
KYC/AML: ALI applies Know Your Customer (KYC) and Anti-Money Laundering (AML) screening in accordance with applicable financial regulations, including alignment with Financial Action Task Force (FATF) Recommendation 15 guidance where applicable to ALI’s grant disbursement operations. Full identity verification is required prior to any grant disbursement or token delivery. ALI is not a registered Virtual Asset Service Provider (VASP) in Phase 1; however, ALI voluntarily applies FATF-aligned screening standards to protect the integrity of the research grant ecosystem.
9. Governing Law & Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions.
- Arbitration: Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings conducted in Austin, Texas. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. Nothing herein prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.
- Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class, collective, or representative action.
10. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. When we make material changes, we will provide notice by updating the “Effective Date” at the top of this document and, where practicable, by direct notification to registered users. By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms.
